By supplying products to Kim’s Asian Food, you agree to these Terms and Conditions. If you do not agree to the Terms, you must not supply products to Kim’s Asian Food.
2. Product Standards
All products supplied must meet the quality and safety standards required by applicable laws and regulations. Products must be as described and adhere to any specifications agreed upon.
3. Delivery and Inventory
• Merchants are responsible for ensuring timely delivery of their products in accordance with the delivery schedules provided by Kim’s Asian Food.
• Merchants must maintain adequate inventory levels to meet the demand forecasted by Kim’s Asian Food.
4. Pricing and Payment
• Prices for products provided to Kim’s Asian Food must be competitive and fair. Kim’s Asian Food reserves the right to negotiate pricing to ensure competitiveness.
• Payment terms will be established on a per-merchant basis and detailed in a separate agreement.
5. Returns and Refunds
• Merchants are responsible for accepting returns of defective or nonconforming goods at their expense.
• A refund or credit will be issued for returned products in accordance with Kim’s Asian Food’s return policy.
6. Intellectual Property
Merchants grant Kim’s Asian Food a non-exclusive, worldwide, royalty-free license to use, display, and sell products, including necessary trademarks and copyrights.
7. Confidentiality
Merchants agree to keep all negotiations, agreements, and business dealings confidential.
8. Compliance with Laws
Merchants shall comply with all applicable laws, regulations, and guidelines related to their products and business operations.
9. Termination
Either party may terminate the agreement with written notice if the other party violates these Terms and fails to correct the violation within a specified period.
10. Dispute Resolution
Any disputes arising under these Terms will be resolved through negotiation, mediation, or arbitration, as agreed upon by the parties.
